FINRA v. Credicorp Capital LLC (Case #2013035313903) – From March 12, 2012 to September 18, 2013, Ultralat, acting through various individuals including its former president and head trader, used non-market foreign exchange (FX) rates in certain bond swap transactions for retail customers, most of whom were referred to Ultralat by its parent company, without disclosing to those customers that the trades were executed with FX rates away from the current market rate. As a result, Ultralat acted in contravention of Section 17(a)(2) of the Securities Act of 1933, thereby violating FINRA Rule 2010. Ultralat also charged excessive markups ranging from 6.83% to 16.07% in three bond swap transactions, generating excessive charges of $48,055.84, in violation of NASD Conduct Rule 2440, IM-2440-1, and FINRA Rule 2010. Ultralat further failed to establish and maintain a supervisory system and written supervisory procedures reasonably designed to identify and prevent the use of non-market FX rates and excessive markups, in violation of NASD Conduct Rules 3010(a) and 3010(b) and FINRA Rule 2010.
